COMPANY (IMITIED).

Coke Company (Limited) net at the office of Ifesers.

plrpocs of electing tho first directors, secretory,
solicitor, id nauditors, and for theo transaction of
other business.
The provisional secretary, Mr. Jcnsop, oxplained
tie otlject of the meeting ; antd n the motion of
Mr. llrownlill nieconoed by Mr. Jessc p the chair wa.
taken by the Mayor.
The Mayor said that on tile paper before him he
found the consideration of the deed of settlement
down as pert of thie biusiess of the meetingi . Ie
under?hood howover that this was not yet ready.
Mr. W. if. ltiley proposed that the name of the
company le the Gounlurnil (Gis Company (Limited),
injiead of the City of Goulhurn (iGa and Colic
Colllllly (Limited), as mentioned ill the circulars
calling the meeccting. The name he proposed clearly
expressed the object of the company and owas omuch
conciser thlan the other.

'Mr. Jacob proposed as an amendment thai t the
lnamel, be as oxpress.ed in the circular.
IMr. Brownhill seconded the nmenldmeint pro
formn, without caring muchll which nllae were
adopted, the matter being one of Olentiment only.
The amendment was carried.
In answer to Mr. Brownhill, thie provisional
secretary said that there wcre thirty.-seven sharo
holders.
On tihe motion of Mr. Ilunt seconded by Mir.
Jacob, it wans agreed that thcre be e fvo directors,
three to form a qlormn, alll that the election he
by ballot. Mr. Delnnis and iMr. Blenson were ap
pointed scrutilicer. The ballot resulted in Messra.
C. Gille?pic, W. Davies, J. Brownhill, II. P'ayten,
allnd E. Ball being elected.
Mr. Blrow?ohill desired that somemene els, say the
next on the scriltineers' list, should be appointed,
a hlie wan but a smalll sharcllolicr and might not he
a tperlmanenlt resident.
On the motion of Itr. Benson seconded by Mr.
Dennis and supported by Mr. Martyr, tih meeting
ultnlimously requiested Mr. Brownhill to consent to

Mr. Dennis proposed and Mir. Jacob seconded
that Melisrso. Foxall and H11unt be auditors.-Carried.
It was proposed by Mir. Brownhill and seconded
by Mr. Burge and carried, that Mr. Betts be solicitor
to the colmpany.
Mr. Brovnooill proposed tllat Mr. Fell of tlhe
North Shore Gasworks be engineer aiind that hlie li
paid tel per cent. on the aictual outlay of the coin
inny till the towni be lit with gas. Mr. Fell had
tkern five lhundred shores in the compalny and had
iroiught others into it and would bring more if re
iired. This slowed that hie thlloroughly believed
n its prospects of success. IeI had most success
ully carried out thie gasworls atI the North Shore, a
nore scattered place than Goslburn and where it
vas iecessary to quary into thile rock to lay the
