Summary
  • AT&T and the Department of Justice sign an antitrust decree that is expected to pave the way for AT&T's planned $12.6 billion acquisition of McCaw Cellular Communications scheduled for Sep 1994. The decree still has to be approved by federal District Judge Harold Greene, who oversees an earlier consent decree that dismantled the Bell System telephone monopoly. The latest consent decree, once ratified, will enable the nation's largest long-distance and telecommunications supplier to join forces with the country's largest cellular telephone company. The Department of Justice has incorporated certain restrictions into the decree to prevent the merged company from unfairly competing against smaller firms. One of the restrictions calls for AT&T to maintain McCaw as a separate subsidiary. It is also obligated to allow McCaw customers to choose from a variety of long-distance carriers for their cellular service.
