The prospectus of the above company is published elsewhere. The company has already been registered, and is to have a nominal capital of 6,000 in shares of 26 each, of which 25,000 are being offered to the public, 3500 (plus £7000 in cash to the Ameri-can-Australasian Film Service, Ltd., In payment for their business, contracts, etc., 7000 to the Australian Life Biograph Co., Ltd., for its business, including freeholds, 6000 to Mr. J. S. Mccullagh for his services as manager, and the benefits of his American and Continental contracts; while 23,500 will be held in reserve. No estimates of the value of the

assets taken over is given in the prospectus, but the promoters state that the Alms alone of the first-named company cost £13,000. while the assets of the Biograph Co. consist of a freehold theatre at Manly, as well as a large number of positive and negatives. The object of the company is to purchase, sell, and rent films and machines of European and American manufacture-), and to Itself manufacture Australian films. The promoters state that they are able to release American films 0 or 8 weeks ahead of any other film exchange in Australia, this, owing to Mrs. McCullagh's favourable American contracts. An estimate of profits Is appointed, "which, if fulfilled, would give a large return to the investor. Sir Albert Gould, Dr. Caleb Terry, Justin Mcsweeney, and A. J. Metcalfe are the provisional directors, and the 15,000 shares have been underwritten.
